Contract Breach Definition
A contract breach is a failure, without legal excuse, to perform any promise that forms all or part of the contract. The non-breaching party may sue for damages and/or specific performance. To win a lawsuit for breach of contract, the plaintiff must prove four elements: (1) existence of a valid contract, (2) plaintiff’s performance under the contract, (3) defendant’s breach of the contract, and (4) resulting damages to the plaintiff.
