Repudiatory Breach

Repudiatory Breach Definition

A repudiatory breach of contract occurs when one party to a contract breaches their obligations under the contract in a way that goes to the heart of the agreement, making it impossible or very difficult for the other party to fulfil their obligations. This type of breach entitles the victim to terminate the contract and claim damages.

There are a number of ways in which a repudiatory breach can occur, including:

-One party refusing to perform their obligations under the contract

-One party making it clear that they do not intend to perform their obligations under the contract

-One party making it impossible for the other party to perform their obligations under the contract

-One party substantially changing their obligations under the contract without the agreement of the other party
