A Standard Non Disclosure Agreement, also known as an NDA, is a contract between two parties that outlines confidential material, knowledge, or information that the parties wish to share with each other for certain purposes, but wish to keep confidential and not disclose to third-parties. An NDA creates a confidential relationship between the parties to protect any type of confidential and proprietary information or trade secrets. As such, an NDA typically includes provisions that require the receiving party to maintain the confidentiality of the information disclosed and restrictions on how it can be used.
